Scope

1.1 Business customers only (§ 14 BGB).

1.2 Conflicting terms shall not apply unless we accept them in writing.

Definitions

“Rental Item” = Safe (30×30×30 cm) + Padlock (5.5×9×2 cm).

“Keys” = one-time steel keys (packs of 250/500/1000/2500).

“Services” = optional printing/personalisation.

Offer & Contract Formation

3.1 Offers are non-binding.

3.2 Your order is an offer; the contract arises upon our written acceptance or shipment.

Prices & Payment

4.1 Net prices ex works Düsseldorf, plus VAT, packaging, freight.

4.2 Payment due ten (10) calendar days net. Late payment interest: nine (9) percentage points above ECB base rate (§ 288 II BGB).

4.3 Off-set or retention only with undisputed or final claims.

Delivery & Transfer of Risk

5.1 Stated dates are approximate unless guaranteed in writing.

5.2 Risk transfers FCA Düsseldorf (Incoterms 2020) to you upon hand-over to the carrier.

5.3 Transport damage must be noted immediately with the carrier.

Customer Obligations

(a) Careful use of Rental Items.

(b) No duplication or manipulation of Keys.

(c) Compliance with venue and safety regulations.

Retention of Title

Keys remain our property until full payment. Extended retention applies to resale receivables.

Inspection & Limited Warranty

9.1 You shall inspect deliveries within seven (7) days and notify defects.

9.2 Statutory warranty period is twelve (12) months from risk transfer.

9.3 We may remedy by repair or replacement at our option.

Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE GOODS AND SERVICES ARE PROVIDED “AS IS” AND “WITH ALL FAULTS”. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT PERMITTED BY UCC § 2-316 AND APPLICABLE LAW.

Limitation of Liability

11.1 Unlimited liability for intent, gross negligence, or injury to life, body, health.

11.2 For slight negligence in essential duties, liability is limited to the contract-typical, foreseeable loss and capped at the total price paid under the individual order.

11.3 No liability for lost profits, incidental, consequential, special or punitive damages.

11.4 California Civil Code § 1542 Waiver: Customer waives unknown claims as stated in full statutory wording.

Online Dispute Resolution

The European ODR platform can be reached at https://ec.europa.eu/consumers/odr. We are neither willing nor obliged to participate in consumer ADR proceedings.

Export Controls & Compliance

Customer shall comply with all applicable export, customs and sanctions regulations.

Intellectual Property

All artwork, templates and trademarks remain our intellectual property; any reproduction requires prior written consent.

Rental Security, Insurance

We recommend you maintain adequate insurance covering theft or damage during the rental period.

Governing Law & Venue

These GTC are governed by the laws of the Federal Republic of Germany; the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Exclusive venue is Düsseldorf, Germany. The parties recognise such forum selection as valid and enforceable worldwide.

Severability & Reformation

If any provision is held invalid or unenforceable, it shall be reformed to reflect the parties’ intent as nearly as possible, and the remaining provisions shall remain in full force.

Entire Agreement & Amendments

These GTC and the order confirmation constitute the entire agreement. Amendments or side agreements require written form signed by both parties.
